This is one of those really difficult questions to answer because....it depends! As you've discovered in your research the key differences legally is that as a corporation your liability is limited..
The issue is not going to be the programming aspect but the accounting one. So for example you would need to be able to explain to the programmers stuff like reducing versus straight line depreciation
